PRÉAMBULE

La société EFIR, société par actions simplifiée au capital social de 10 000 euros, dont le siège social est situé 24 avenue Sainte-Marie, 94160 Saint-Mandé, immatriculée au Registre du Commerce et des Sociétés sous le numéro 920 800 364, édite et exploite une solution logicielle dénommée OKS (ci-après « OKS » ou la « Plateforme »).

OKS est une solution SaaS permettant à des marques clientes d’opérer des communautés digitales brandées accessibles à leurs utilisateurs finaux via des Instances dédiées.

Dans ce cadre, OKS met à disposition des fonctionnalités permettant notamment :

• la création de comptes utilisateurs,

• l’accès à des contenus éditoriaux,

• la publication de contenus générés par les utilisateurs,

• les interactions communautaires,

• la modération,

• la mesure d’engagement et la production d’insights.

Les présentes Conditions Générales d’Utilisation (ci-après les « CGU ») ont pour objet de définir les conditions dans lesquelles les Utilisateurs peuvent accéder à la Plateforme et utiliser les Services.

IMPORTANT – ACCEPTATION

Toute utilisation de la Plateforme implique l’acceptation expresse, préalable, pleine et entière des présentes CGU.

ARTICLE 1 — DÉFINITIONS

Dans les présentes CGU, les termes suivants, lorsqu’ils commencent par une majuscule, ont la signification ci-après :

• Abonnement : accès souscrit par une Marque aux Services OKS pour sa Communauté.

• Compte : espace personnel créé par l’Utilisateur lui permettant d’accéder aux Services.

• Communauté : ensemble des Utilisateurs rattachés à une Instance opérée par une Marque.

• Contenu : tout contenu accessible sur la Plateforme, incluant les Contenus Utilisateurs.

• Contenu Utilisateur (UGC) : tout contenu publié par un Utilisateur (texte, image, vidéo, audio, commentaire, réaction, message).

• EFIR / OKS : la société EFIR, éditeur et exploitant de la Plateforme.

• Instance : environnement OKS dédié à une Marque, accessible via une URL ou une application brandée.

• Marque : client professionnel d’EFIR exploitant une Instance.

• Plateforme : infrastructure logicielle OKS et ses composants.

• Services : fonctionnalités mises à disposition des Utilisateurs via la Plateforme.

• Utilisateur : toute personne physique accédant à la Plateforme.

ARTICLE 2 — OBJET ET OPPOSABILITÉ

2.1. Les CGU ont pour objet de définir les modalités d’accès et d’utilisation des Services par les Utilisateurs.

2.2. Les CGU sont accessibles à tout moment sur la Plateforme.

Toute navigation, création de Compte ou utilisation des Services emporte acceptation sans réserve des CGU.

2.3. Les CGU prévalent sur toute autre condition, sauf conditions spécifiques expressément acceptées par EFIR.

ARTICLE 3 — CONDITIONS D’ACCÈS À LA PLATEFORME

3.1. L’accès aux Services suppose :

• un terminal compatible,

• une connexion Internet,

• la création d’un Compte lorsque requis.

3.2. Âge minimum

L’Utilisateur déclare être âgé d’au moins 13 ans.

Les mineurs reconnaissent disposer de l’autorisation de leur représentant légal.

3.3. EFIR se réserve le droit de refuser l’accès à tout Utilisateur ne respectant pas les CGU.

ARTICLE 4 — DESCRIPTION DES SERVICES

La Plateforme permet notamment :

• la consultation de contenus éditoriaux,

• la publication de Contenus Utilisateurs,

• les interactions communautaires,

• la participation à des discussions, événements ou sondages,

• la réception de notifications,

• le signalement de contenus.

Les Services accessibles dépendent du paramétrage de l’Instance par la Marque.

ARTICLE 5 — CRÉATION DU COMPTE

5.1. Pour accéder aux Services, l’Utilisateur doit créer un Compte.

5.2. Les informations demandées peuvent inclure :

• nom et/ou prénom,

• adresse email,

• numéro de téléphone,

• préférences et centres d’intérêt.

5.3. L’Utilisateur s’engage à fournir des informations exactes, complètes et à jour.

5.4. EFIR se réserve le droit de refuser ou supprimer tout Compte comportant des informations inexactes ou trompeuses.

ARTICLE 6 — IDENTIFIANTS ET SÉCURITÉ

6.1. Les identifiants sont strictement personnels et confidentiels.

6.2. L’Utilisateur est seul responsable de l’utilisation de son Compte.

6.3. Toute utilisation frauduleuse doit être signalée sans délai à :

ARTICLE 7 — CONTENUS UTILISATEURS

7.1. L’Utilisateur demeure seul responsable des Contenus qu’il publie.

7.2. L’Utilisateur garantit disposer des droits nécessaires sur ses Contenus.

7.3. En publiant un Contenu, l’Utilisateur concède à EFIR et à la Marque une licence :

• non exclusive,

• mondiale,

• gratuite,

• pour l’hébergement, l’affichage, la modération et l’analyse statistique.

7.4. Aucun Contenu Utilisateur n’est exploité à des fins publicitaires externes par EFIR.

ARTICLE 8 — MODÉRATION

8.1. La modération est assurée conjointement par EFIR et la Marque.

8.2. Peuvent être supprimés sans préavis les contenus :

• illicites,

• contraires aux CGU,

• portant atteinte aux droits de tiers,

• perturbant la Communauté.

8.3. Tout Utilisateur peut signaler un contenu via la Plateforme ou à :

support@oks.media

ARTICLE 9 — DISPONIBILITÉ DE LA PLATEFORME

9.1. La Plateforme est accessible 24h/24, 7j/7, sous réserve de maintenance et d’incidents.

9.2. EFIR se réserve le droit d’interrompre temporairement l’accès pour maintenance corrective ou évolutive.

9.3. EFIR est tenue à une obligation de moyens.

ARTICLE 10 — RESPONSABILITÉ DE L’UTILISATEUR

L’Utilisateur s’engage à :

• utiliser la Plateforme conformément aux lois,

• respecter les autres Utilisateurs,

• ne pas détourner les Services,

• ne pas porter atteinte à la sécurité de la Plateforme.

ARTICLE 11 — RESPONSABILITÉ DE EFIR

11.1. EFIR n’est pas responsable :

• des Contenus Utilisateurs,

• des décisions de la Marque,

• des dommages indirects.

11.2. EFIR ne garantit pas l’absence d’erreurs ni l’adéquation à un besoin particulier.

ARTICLE 12 — PROPRIÉTÉ INTELLECTUELLE

La Plateforme et ses composants sont protégés par le droit de la propriété intellectuelle et demeurent la propriété exclusive d’EFIR.

Toute reproduction non autorisée est interdite.

ARTICLE 13 — DONNÉES PERSONNELLES

Les traitements de données sont décrits dans la Politique de confidentialité, partie intégrante des CGU.

ARTICLE 14 — MODIFICATION DES CGU

EFIR se réserve le droit de modifier les CGU.

La version applicable est celle publiée au jour de l’utilisation.

ARTICLE 15 — LOI APPLICABLE ET JURIDICTION

Les CGU sont soumises au droit français.

Tout litige relève des tribunaux de Paris.

OKS PLATFORM

PREAMBLE

EFIR, a simplified joint-stock company (société par actions simplifiée) with a share capital of EUR 10,000, having its registered office at 24 avenue Sainte-Marie, 94160 Saint-Mandé, France, registered with the Trade and Companies Register under number 920 800 364 (hereinafter referred to as “EFIR”, “OKS”, or the “Platform”), publishes and operates a software-as-a-service solution known as OKS.

OKS is a SaaS platform enabling brand clients to operate branded digital communities accessible to their end users through dedicated instances.

Within this framework, OKS provides functionalities allowing in particular:

• user account creation,

• access to editorial content,

• publication of user-generated content,

• community interactions,

• moderation tools,

• engagement measurement and insights.

These Terms of Use (hereinafter the “Terms”) define the conditions under which users may access and use the Platform and its services.

IMPORTANT — ACCEPTANCE

Any access to or use of the Platform implies the express, prior, full, and unconditional acceptance of these Terms.

ARTICLE 1 — DEFINITIONS

For the purposes of these Terms, the following capitalized terms shall have the meanings set out below:

• Account: the personal space created by a User allowing access to the Services.

• Brand: any professional client of EFIR operating a branded OKS instance.

• Community: all Users attached to a specific Brand Instance.

• Content: any content accessible on the Platform, including User Content.

• EFIR / OKS: the company EFIR, publisher and operator of the Platform.

• Instance: a dedicated OKS environment operated for a specific Brand.

• Platform: the OKS software infrastructure and all its components.

• Services: the functionalities made available to Users through the Platform.

• User: any natural person accessing or using the Platform.

• User Content (UGC): any content published by a User (text, images, videos, audio, comments, reactions, messages).

ARTICLE 2 — PURPOSE AND ENFORCEABILITY

2.1. These Terms define the conditions of access to and use of the Services by Users.

2.2. The Terms are accessible at all times on the Platform.

Any browsing, account creation, or use of the Services constitutes acceptance of the Terms.

2.3. These Terms prevail over any other conditions unless expressly agreed otherwise in writing by EFIR.

ARTICLE 3 — CONDITIONS OF ACCESS TO THE PLATFORM

3.1. Access to the Services requires:

• a compatible device,

• an Internet connection,

• the creation of an Account where required.

3.2. Minimum age

Users declare that they are at least 13 years old.

Minors confirm that they have obtained authorization from their legal representative.

3.3. EFIR reserves the right to deny access to any User who does not comply with these Terms.

ARTICLE 4 — DESCRIPTION OF THE SERVICES

Depending on the configuration of the relevant Instance, the Platform enables:

• consultation of editorial content,

• publication of User Content,

• community interactions and discussions,

• participation in events, polls, or surveys,

• receipt of notifications,

• reporting of content.

The Services available to Users depend on the settings defined by the Brand.

ARTICLE 5 — ACCOUNT CREATION

5.1. Access to the Services may require the creation of an Account.

5.2. Information requested may include:

• first and last name,

• email address,

• phone number,

• preferences and interests.

5.3. Users undertake to provide accurate, complete, and up-to-date information.

5.4. EFIR reserves the right to refuse or delete any Account containing false, misleading, or incomplete information.

ARTICLE 6 — IDENTIFIERS AND ACCOUNT SECURITY

6.1. Login credentials are strictly personal and confidential.

6.2. Users are solely responsible for any activity carried out through their Account.

6.3. Any fraudulent use of an Account must be reported immediately to:

ARTICLE 7 — USER CONTENT

7.1. Users remain solely responsible for the User Content they publish.

7.2. Users warrant that they hold all necessary rights and authorizations relating to their User Content.

7.3. By publishing User Content, Users grant EFIR and the relevant Brand a license that is:

• non-exclusive,

• worldwide,

• royalty-free,

• for hosting, displaying, moderating, and producing statistical and analytical insights.

7.4. EFIR does not exploit User Content for external advertising purposes.

ARTICLE 8 — MODERATION

8.1. Moderation is carried out jointly by EFIR and the Brand.

8.2. EFIR and/or the Brand may remove, without prior notice, any content that:

• is unlawful,

• violates these Terms,

• infringes third-party rights,

• disrupts the Community.

8.3. Users may report content through the Platform or by contacting:

ARTICLE 9 — PLATFORM AVAILABILITY

9.1. The Platform is accessible 24/7, subject to maintenance operations and technical incidents.

9.2. EFIR reserves the right to temporarily suspend access for corrective or evolutionary maintenance.

9.3. EFIR is subject to a best-efforts obligation only.

ARTICLE 10 — USER OBLIGATIONS AND PROHIBITED USES

Users undertake to:

• use the Platform in compliance with applicable laws,

• respect other Users and the Community,

• refrain from any misuse of the Services,

• not compromise the security or integrity of the Platform.

In particular, it is strictly prohibited to:

• publish unlawful, hateful, defamatory, or abusive content,

• infringe intellectual property or personal rights,

• collect or misuse personal data without authorization,

• interfere with or disrupt the Platform’s operation.

ARTICLE 11 — LIABILITY OF EFIR

11.1. EFIR shall not be liable for:

• User Content,

• decisions made by Brands,

• indirect damages, including loss of opportunity or revenue.

11.2. EFIR does not guarantee that the Services are error-free or suitable for a specific purpose.

ARTICLE 12 — INTELLECTUAL PROPERTY

The Platform and all its components are protected by intellectual property laws and remain the exclusive property of EFIR.

Any unauthorized reproduction or use is prohibited.

ARTICLE 13 — PERSONAL DATA

Personal data processing is described in the Privacy Policy, which forms an integral part of these Terms.

ARTICLE 14 — AMENDMENTS TO THE TERMS

EFIR reserves the right to modify these Terms at any time.

The version applicable is the one in force at the time of use of the Platform.

ARTICLE 15 — GOVERNING LAW AND JURISDICTION

These Terms are governed by French law.

Any dispute shall fall within the exclusive jurisdiction of the courts of Paris, subject to mandatory rules.
